Wikimedia Fulfulde Community/Constitution
This constitution is adopted by the Wikimedia Fulfulde Community and is intended to guide the governance and future recognition of the proposed Fulfulde Wikimedians User Group.
Chapter One – Mission and Identity
[edit]Section One – Name
[edit]The organization shall operate as Wikimedia Fulfulde Community pending formal recognition as the Fulfulde Wikimedians User Group.
Section Two – Mission
[edit]The Community is committed to promoting Fulfulde language, culture, and knowledge through Wikimedia projects.
Section Three – Goals
[edit]- Increase Fulfulde-language content on Wikimedia platforms.
- Support new and existing contributors.
- Preserve and document Fulfulde culture and heritage.
- Build partnerships that advance the Wikimedia mission.
Section Four – Activities
[edit]The Community may organize edit-a-thons, workshops, outreach campaigns, training programs, research activities, and other initiatives consistent with its mission.
Chapter Two – Membership
[edit]Section One – Eligibility
[edit]Membership is open to anyone interested in contributing to Wikimedia projects related to the Fulfulde language and culture.
Section Two – Rights of Members
[edit]- Attend general meetings.
- Speak, propose, and second motions.
- Participate in Community projects and activities.
- Vote when eligible under this constitution.
Section Three – Responsibilities of Members
[edit]- Follow the Community's constitution and policies.
- Respect the Wikimedia Foundation Universal Code of Conduct and Friendly Space Policy.
- Avoid actions that may harm the reputation or operations of the Community.
- Support constructive collaboration among members.
Section Four – Suspension and Termination
[edit]Membership may end through resignation, death, suspension, or expulsion following a decision approved by the Board and confirmed according to the procedures established in this constitution.
Chapter Three – Meetings
[edit]Section One – Regular Meetings
[edit]- Regular community meetings shall be held at least quarterly.
- An Annual General Meeting (AGM) shall be held once each calendar year.
Section Two – Special Meetings
[edit]Special or extraordinary meetings may be called by the Board or by a written request supported by at least two-thirds of active members.
Section Three – Notice of Meetings
[edit]Members shall receive at least seven days' notice through email, WhatsApp, Telegram, or another official communication channel.
Section Four – Minutes
[edit]Minutes of all official meetings shall be published on Meta whenever practicable.
Chapter Four – Governance and Board of Directors
[edit]Section One – Role of the Board
[edit]The Board of Directors serves as the executive and administrative body of the Community.
Section Two – Composition
[edit]The Board shall consist of a minimum of two (2) and a maximum of five (5) directors.
Section Three – Term
[edit]Directors shall serve for a term of two years and may be re-elected.
Section Four – Eligibility
[edit]Board members shall:
- Be at least 18 years old.
- Be active Wikimedians.
- Have demonstrated volunteer involvement in Community activities.
- Disclose any leadership or board position in another Wikimedia affiliate that may create a conflict of interest.
Section Five – Decision Making
[edit]Board decisions shall be made by simple majority vote. In the event of a tie, the Chair of the Board shall cast the deciding vote.
Chapter Five – Annual General Meeting
[edit]Section One – Timing
[edit]The AGM shall be held between 1 January and 31 March each year.
Section Two – Participation
[edit]All members may attend, speak, and submit proposals for consideration.
Section Three – Decisions
[edit]Decisions of the AGM shall be made by simple majority of votes cast.
Chapter Six – Voting
[edit]Section One – Eligibility to Vote
[edit]To vote, a member must:
- Be an active Wikimedia contributor.
- Be in good standing with the Community.
- Have disclosed any potential conflict of interest where applicable.
Chapter Seven – Officers and Operational Roles
[edit]Section One – Executive Director
[edit]The Executive Director shall provide overall leadership and represent the Community in official matters.
Section Two – Assistant Executive Director
[edit]The Assistant Executive Director shall act on behalf of the Executive Director when required.
Section Three – Secretary
[edit]The Secretary shall maintain records, minutes, and official documents.
Section Four – Treasurer
[edit]The Treasurer shall manage accounts, deposits, financial records, and annual financial reporting.
Section Five – Community Director
[edit]The Community Director shall coordinate day-to-day community activities and programs.
Section Six – Additional Operational Roles
[edit]The Board may appoint additional operational or committee roles, including but not limited to:
- IT Manager
- Grant Manager
- Communications and Outreach Officer
- Events Coordinator
- Project Manager
- Programs Lead
These roles support implementation activities and do not automatically constitute membership of the Board of Directors.
Section Seven – Removal and Resignation
[edit]Any officer may resign by written notice. Removal may occur through the procedures established by the Board and approved according to this constitution.
Chapter Eight – Finances
[edit]Section One – Financial Management
[edit]All funds received by the Community shall be deposited in an approved bank account selected by the Board.
Section Two – Expenditure Control
[edit]The Community shall not incur expenditures exceeding available funds.
Section Three – Signatories
[edit]Financial transactions requiring authorization shall be signed by the Treasurer and one additional authorized Board member.
Section Four – Transparency
[edit]Income and expenditure reports shall be published regularly.
Chapter Nine – Records and Transparency
[edit]Section One – Access to Records
[edit]Members may request access to financial records, meeting minutes, and other official documents, subject to applicable privacy and legal requirements.
Chapter Ten – Dissolution
[edit]Section One – Procedure
[edit]Dissolution shall require a two-thirds majority vote at two consecutive Annual General Meetings.
Section Two – Assets
[edit]Upon dissolution, remaining assets shall be transferred to the Wikimedia Foundation, Inc. or another Wikimedia-recognized entity approved by the General Assembly.
Chapter Eleven – Amendments
[edit]Section One – Amendment Process
[edit]This constitution may be amended by a simple majority vote at a General Meeting or Extraordinary Meeting, provided the proposed amendment has been circulated to members in advance.
Chapter Twelve – Adoption
[edit]Section One – Adoption of Constitution
[edit]We, the undersigned members of the Wikimedia Fulfulde Community, hereby adopt this Constitution as the governing document of the Community and as the framework for the proposed Fulfulde Wikimedians User Group.
